Ray Kao, Chairman and CEO of CipherMax

Ray has over 20 years of experience in information technology industry, including 10 years of CEO & CTO responsibilities, and 10 years of senior engineering management and product design and development. Ray is also a seasoned entrepreneur with a good track record of developing innovative technologies into business. Before founding CipherMax, Ray was the Chairman and founding CEO of Polaris Networks, which provides new generation multiservice optical transport and switching solutions. Before founding Polaris Networks, Ray was the founder, CTO and VP of R&D of TransMedia Communications which delivered the industry’s first carrier-class Voice over IP media gateway solution. The company was acquired by Cisco in September 1999. Before founding TransMedia, Ray was the chief architect at Stratacom/Cisco for several generations of multiservice switching products. Prior to Cisco, Ray was a key designer on various networking products at Digital Equipment Corporation. Ray has received several awards and patents in the areas of high-performance multiservice and multimedia system design. He has presented and served as a panel expert at numerous networking, storage, & security conferences and is also a board member and technical consultant for several leading high-tech companies. In 2002, Ray received Red Herring’s Top 10 Innovators award. Ray holds an MSEE degree from University of Massachusetts, Amherst and a BSEE degree from National Chiao Tung University. He also conducted advanced research at MIT.

Robert L. Hoguet

Mr. Hoguet’s background includes both investment banking and financial management. From 1989 to 1995, he was Executive Vice President and Chief Financial Officer of Horsehead Resource Development Company, a market leading environmental recycling company. Between 1973 and 1989, he was with Kidder Peabody and Prudential Securities, where he led specialty-financing groups as a Managing Director and helped corporate and municipal clients to raise over $8 billion. Mr. Hoguet graduated from Harvard College in 1963 and holds an LLB from New York University Law School and an MBA from Columbia Business School.

Jerry Lee

Mr. Lee is a retired partner of Ernst & Young. From 1979 to 1989 he was the Managing Partner of the Philadelphia area. From 1990 until his retirement in 1995 he was a member of the firm’s worldwide multinational partner group. Mr. Lee has extensive merger and acquisition and international experience. Mr. Lee currently serves as a Director of CYBEX International (AMEX), eResearch (NASDAQ), PetroChem International and Executive Health Group.

Gerald P. Chase

Gerald P. Chase is President and Chief Operating Officer of New Castle Hotels, which owns, operates and develops hotels, conference centers and resorts in the United States and Canada under Westin, Hilton, Marriott, and Sheraton brands, as well as a number of highly distinctive independent properties. Including projects under development, New Castle Hotels currently owns and/or operates 20 hotels and resorts in 8 states and Atlantic Canada, totaling approximately 2,900 rooms, generating annual revenues of over $145 million. As President/COO Gerry is in charge of hotel and resort operations and company subsidiaries. He also coordinates all takeover activities and is extensively involved in feasibility evaluations for new projects. Gerry began his career over 30 years ago with Marriott Hotels and his background encompasses management assignments in every aspect of hotel operations. Prior to joining New Castle Hotels as a significant shareholder in 1988, Gerry has or currently participates on marketing and owners advisory committees with Starwood and Hilton. He also is a board member of HILMAC and is Chairman of the Hilton Owners Advisory committee.

Chris Bills

Mr. Bills has over fifteen years of C-level leadership experience most recently as CEO and President of The Summit Group. While at Summit, Mr. Bills headed a team responsible for growing the company from approximately $35 Million in revenues to over $125 Million in revenues and adding over $300 Million in hotel assets through acquisition and development. Mr. Bills was also responsible for the company’s NASD registered Broker – Dealer, Summit Real Estate Investments, LLC (SREI). SREI raised equity to finance various hotel acquisitions and development projects. Mr. Bills had overall responsibility for over 1,500 employees companywide and served as CFO of Summit Hotel Properties, LLC, a public reporting company with a Board of Managers. Mr. Bills was active with Hyatt, Starwood, and Choice Hotels International as an advisory member during his tenure at Summit. Prior to Summit, Mr. Bills headed the medical equipment finance and leasing group for US Bancorp Equipment Finance. Mr. Bills was part of the executive team at Lyon Financial Service, Inc., a division of The Schwann Food Company, for seven years prior to its sale to US Bancorp. Mr. Bills graduated from the University of Northern Iowa with B.A. degree in Finance.

William Smelas

Mr. Smelas was President of Horsehead’s EAF Dust recycling division (HRD) from 2002 – 2004. He served as President of all of Horsehead’s zinc & recycling operations (ZCA / HRD) from 1997 – 2001. Prior to that, he was Senior Vice President and Executive Vice President of HRD and was an integral part of the team that developed and commercialized the EAF Dust recycling industry. Prior to his roles at HRD, Mr. Smelas held various managerial and engineering roles at the New Jersey Zinc Company including Director of Manufacturing, Manager of Production and Maintenance and Superintendent of the Roasting and Acid Department. He has extensive knowledge in manufacturing, production and engineering in the metals and chemicals industries. Mr. Smelas received a BS in Chemical Engineering from the University of Pittsburgh.

Nils A. Kindwall

Mr. Kindwall was the Vice Chairman of Freeport McMorRan, Inc. and a Director of Inmet Mining Corporation. At Freeport, Mr. Kindwall was one of the founders of Freeport Indonesia, now one of the world’s largest copper and gold deposits. He is known in the mining industry for innovative financing of new, large projects. He is also a former member of Chemical Bank’s Advisory Board and a former Director of John Wiley & Sons. Mr. Kindwall received his Bachelor of Arts from Princeton University and an MBA from the Columbia University Graduate School of Business.

Dr. Heinz C. Schimmelbusch

Dr. Schimmelbusch was appointed chairman of the Management Board of AMG Advanced Metallurgical Group N.V. on November 21, 2006, the date of incorporation of the Company. In November 2002 he was appointed chief executive officer of Metallurg, and since 1998 he has served as chairman of the board of Metallurg and Metallurg Holdings. Presently, Dr. Schimmelbusch also serves as non-executive chairman of the board of various companies, including Allied Resource Corporation, Wayne, Pennsylvania, United States; and PFW Aerospace, Speyer, Germany; and is a member of the board of directors of Norilsk, Moscow, Russia. Dr. Schimmelbusch is also a Managing Director and a founder of Safeguard International Fund, L.P. In the past, Dr. Schimmelbusch served as chairman of Metallgesellschaft AG from 1989 until he resigned in 1993. His directorships have included Allianz Versicherung AG, Mobil Oil AG, Teck Cominco Limited, and Methanex Corporation. Dr. Schimmelbusch received his graduate degree (with distinction) and his doctorate (magna cum laude) from the University of Tübingen, Germany.

Juergen F. Kremer

Juergen F. Kremer is a Managing Director and Chief Financial Officer of Allied Resource Corporation, an industrial services company based on advanced material technologies. Mr. Kremer serves on the Board of Directors of several industrial and enviromental service firms such as Puralube, Sudamin and Aura. Mr. Kremer is a former Director, Executive Vice President and Chief Financial Officer of Metallgesellschaft Corp. (New York, NY) and has served on various Boards including Metallbank GmbH (Frankfurt, Germany) and MG-First Boston Ltd. (New York, NY).

Harry N. Walters

Mr. Walters is a General Partner with Lafayette Equity Fund in Washington. D.C. Mr. Walters has served as a director of 12 corporations and as Chairman of the Board of eight. From 1994 to 1996, he was Chief Executive Officer of DHC Holdings, a company established to facilitate and finance major acquisitions. Prior to that, Mr. Walters was President and Chief Executive Officer of Great Lakes Carbon Corp., a $500 million international manufacturer of carbon-based and artificial graphite industrial products. In addition to his work in the private sector, Mr. Walters had a lengthy career in public service, serving in the Reagan Administration as Assistant Secretary of the Army and as Administrator of Veterans Affairs. Harry is a graduate of the United States Military Academy at West Point.
